It may look as if the William Morris Agency has an advantage over Endeavor on the WME Entertainment’s new board. But I’ve confirmed that the 5 WMA members have 1 vote each, and the 4 Endeavor members have 1 1/4 each. So it’s even.

Why doesn’t Endeavor just add a 5th member to their
board ? How silly. Probably to Ari it’s his own little head-game that he has more control then Jim Wiatt has.
So, Ari controls 1 and 1/4 of the Board’s vote while Jim Wiatt is only in control of 1 percent of the Vote.
I get it.
That’s 12.5% for each Endeavor vote and 10% for each WMA vote…. My question: why have a board that can easily split a vote exactly 50/50?
I guess the whole merger is newsworthy stuff, but to this extent? Do people who read this site really want to know every detail?
“None.” In addressing another angle to your observation.
Purely tactical move.
A mis-tep from a one percenter – forced or otherwise, sickness or death – potentially power shifts everything Emanuel’s way eroding WMA’s situational status within the new entity permanently it being all in the numbers.
I guess Wiatt figures – once I’m gone, why do I care? Definitely a sucker punch in the negotiation however that Wiatt either thinks he can withstand; or didn’t catch – possibly a combination of the two.
Emanuel’s “gamed” the board basically.
Good times ahead – no doubt about it. (Not.)
A deadlocked boardroom and 3 Co-CEO’s?
This is a corporation specifically designed to revive the atmosphere of the Roman Coliseum and create ulcers & heart attacks.
this probably has to do with Strickler resigning, which would have been the even fifth board seat & vote for END
And in the event of a tie vote— THUNDERDOME!!!
It’s true, they’ve commissioned the building of a thunderdome where their assistants used to park. There agency bosses will battle, if not to the death, at least until someone’s bruised, to decide who gets the office with the extra big private bathroom.
Names? What about the powerhouses Carlson and Gasmer? They both have a stellular client list.
How about the artists? Why don’t they get a vote? Without artists, there are no agents and therefore no board, and no seven figure salaries for no-talent parasites.
I think it is fairly obvious how this worked. WMA is the big fish here so they demanded the obvious show of dominance by having more members. Endeavor is not agreeing to be second fiddle, so they compensated for allowing WMA the outward showing, but evening it out behind the scenes. Each side saves face.
Egos, Egos, Egos … and now the board can be deadlocked 5-5.
Is the voting tilt permanent? If one of the WMA members leaves is each Endeavor rep still going to have that extra quarter? It seems like a loaded solution. . . we’ll see whether it comes back to bite.
very smart of endeavor. it’s easier to get 4 people to agree than 5. also, if someone wants to tilt a vote, it’s the endeavor board members are worth more, b/c their votes are weighted.
