The long list of unpaid bills trailing David Bergstein and his Capitol Films and ThinkFilms shingles has culminated in a bombshell filing in U.S. Bankruptcy Court in Los Angeles. In the past, Deadline has exposed how Bergstein-funded films like the David O.Russell-directed Nailed were shut down repeatedly over money problems. Wonder how those stiffed will feel about the allegation that Bergstein allegedly used company funds to cover gambling markers?
A total of 14 creditors ranging from financier Screen Capital International to Hollywood labor guilds petitioned the court Wednesday to place Bergstein’s five main holdings into Chapter 11, and appoint an emergency trustee to take control of a film library estimated at between 600-800 films.
Even worse for Bergstein, two of the main financial advisors to his companies have turned on him, blaming him alone for the incredible irregularities.
According to the charges, Bergstein treated his various entities as “if they were his own personal fiefdom and bankroll.” An accounting system for debtors allegedly consisted of an Excel spreadsheet maintained by an assistant who was not an accountant. As the company plunged deeply into debt—as much as $100 million or more– receivables were routinely “swept” away by Bergstein and his assistant, while employees and payroll taxes went unpaid, per the complaint.
Most serious is the charge Bergstein allegedly used receivables for personal business: “Most alarmingly, Bergstein used at least one of the Entities’ bank accounts as collateral to obtain loans from a casino to fund his personal gambling and may have used funds from one or more of the Entities’ to repay such loans,” the complaint charges. “More specifically, Bergstein obtained $950,000 in cash from Mandalay Bay in exchange for `markers’ issued to Mandalay Bay.” The complaint states that The Bank of America reference on “each of the markers is an account that was maintained by Production Management Services Inc., a subsidiary of CapCo, one of the Alleged Debtors. Bergstein also had complete control over this account.”
Affidavits from former ThinkFilm financial consultant Jeffrey A. Gaul and ex-acting COO Roger Gertz paint a picture of Bergstein hoarding financial information as his company spiraled out of control. Gaul stated in the affidavit that incoming cash was “swept from the ThinkFilm account by Bergstein…without the accounting department being informed of the nature of the transaction.” Gaul claimed that during his 22 months with the company, “Bergstein was the only one who determined if funds were available, which bills to pay (or not) and when checks would get written (and mailed). The conscious avoidance of paying taxes was a particularly glaring and egregious offense. Specifically, payroll taxes were either paid late or, at least from mid-July, 2009 until I left, they were not paid at all. Nor were tax returns filed with the IRS. The one exception I can recall is that Bergstein made sure a state return was filed for the special purpose in those states (such as New Mexico) where the Company would receive a production tax rebate or credit.”
Gertz, brought in by Bergstein in 2009, wrote that he too was frustrated by a lack of standard accounting practices. Eventually he discerned that the company was $100 million-$150 million in debt, with only $2 million-$3 million in receivables and an overhead of $400,000 per month. Gertz finally left when he wasn’t being paid.
“I encourage anyone else with a grievance to contact Screen Capital,” said that company’s chief, David Molner, who rallied the creditors and led the charge on the Bankruptcy Court filing. Bergstein did not return calls for comment.

That was me. Plenty of stories over there about how David would funnel money from investors into confusingly-named LLCs, transfer money between those LLCs, and then use the funds for his own purposes (like paying interior designers to renovate his many homes, out of his “White LLC.”)
Jeff Gaul is a stand-up guy. It’s too bad he got wrapped up in this mess. He’s not the only one. A handful of really good people over there got dragged into the mud because of Bergstein. He’s a unrepentant criminal, and more than a little sociopathic.
Bergstein’s assistant who helped him move the money is named Frymi Biedak. She’s just as guilty as he is. They both deserve to rot in jail. Someone in the IRS needs to take a good hard look at her finances.
Bergstein’s been doing this for years. Bleeding companies dry, closing shop in the middle of the night, only to open up shop soon after with a new name and, somehow, no legal responsibility to pay off the debts the previous incarnation accrued.
Keep digging, guys. Lots and lots of dirt and skeletons there to be found.

Prosecute the assistant. Lift the charges (or let her plead out at a discount) when she turns. It’s a time-honored (and effective) approach.
Although, if Biedak is reading this, NOW would probably be a good time to approach the DA -practicing your American Idol-style auditioning in your car along the way – and see if what cooperating early can do before the house lands on you…

Biedak was the sole person at Capitol, besides Bergstein, who had access to the REAL books. She handled balance transfers between the LLCs, from the film LLCs to David’s personal accounts, etc. She was the one who frequently lied on his behalf to vendors when they called asking for the money they were owed (or to producers when they called asking where their production funds disappeared to.)
We’re talking his long-time personal secretary who knowingly and enthusiastically helped him cook the books. Which is why I suggested someone look into her finances.
BTW, Mike Fleming, what does Susan Tregub say about all this? Maybe you should ask her. Someone should.

Gaul was far from the only person who got screwed by Bergstein’s crooked operation at Think. If there’s any justice in this world they’ll throw the book at him.

He’s reached the depths of stage 4 in what I call the 7 stages of corporate grief.
1. Frustration- Rumors start leaking out that it’s getting really hard to do business with this company.
2. Aggravation- Those rumors become official reports.
3. Unionization- The unions get involved, sometimes shutting down productions over unpaid bills.
4. Litigation- The lawyers get involved, first it’s the former employees who start suing, then, the stage we’re at now, the investors start suing and making the sort of allegations that lead to–
5. Investigation- All the talk of malfeasance, misappropriation, and financial shenanigans attract the IRS, the SEC, and any other bureaucrat with a desire to get a Hollywood pelt on their trophy wall. This inevitably leads to–
6. Devastation- All the lawsuits, investigations, and punishments completely destroy the company, leaving nothing but a name, and some debts, and the real possibility of jail time for someone.
7. Salvation- The CEO of the destroyed company finds Jesus, and dedicates their life to anointing the sores of hobos with leprosy.
Get a job, hippie. No one – even on the internet – cares about your half-cooked theories. You were just a whole page to scroll past… it’s posters like you that clog deadline’s boards and have no real intel.
The lowdown on NAILED is that DavidO was damned lucky they ran out of money. The movie is unspeakably bad. Lousy premise and failed perf’s. But DavidO booked two movies in the meantime b/c technically NAILED “wasn’t his fault”, it was Bergstein’s f-up.

How is it, that someone like David, could smooth talk investors and not know this mans history.. And now you are suing? Hello, wake up… If you are snowed, you deserve to lose money. Hire a PI and have this person followed, do your due diligence…
There are some good companies out with fantastic reputations looking for money, Suggest looking at the hollywood reporter, variety and screen daily bumper issues before a big market. (cannes, AFM, Toronto, Berlin ff) Check google, start tracking companies. WAKE UP investors, start caring.

It’s all because everyone is a whore…especially these pure finance bean counter folks, who make fees off of the transactions, and rely purely on models to forecast their investments, and have zero understanding of what creative elements and scripts actually comprise a picture that will attract an audience.
After the walls fall down, it’s finger pointing time. That’s the way it is. Everyone dealing with Bergstein, fully understood who they were dealing with, but looked the other way because they were making money.
I’m sorry, but if Frymi Biedak has done what is alleged here, then she deserves to be in jail right next to her beloved boss. She stuck with him through thick and thin, company after company, always at his side.
We’ve all done stuff for our bosses that made us feel uncomfortable and sometimes slimy. Lie to the wife? Check. Get a little creative on the expense reports? Check. Use the FedEx account for personal stuff? Check. Keep our ears and eyes open for industry gossip to pass along? Check. Obtain scripts and screeners no one outside of production should have seen? Check.
Some of my friends and comrades in arms have scheduled prostitutes for their boss. Some have bailed their boss out of jail. Some have become their drug dealer. Let’s be real, for some that’s how they got the damn job in the first place.
All of that is the daily reality of our industry. Is it right? Is it good? I don’t know. It just is.
But what Frymi Biedak is alleged to have done goes way beyond all of that. What she is accused of here is major culpability in longstanding and widespread conspiratorial corporate fraud. This is white collar crime we’re talking about, kids. And as everyone knows, you can f*ck with someone’s dreams, but don’t f*ck with their money.
It looks like the house of cards is collapsing all on their heads and if Biedak thinks she can stand there and do Nazi Mea Culpa of “I was just following orders” she’s got a cold, hard reality check on the way.
Can’t wait to see these two in handcuffs. I know it’s my own sick fantasy, but I’m sure there are others out there who share it.

I was was pushing this story on Nikki forever and gave her at least the first 4 posts she had on Iceberg-stein . The real story was the total damage this one wrecking ball bi-polar-producer did to so many people in one industry . Millions of dollars , numerous projects, actors , writers, craft services, etc . If nobody says anything people are going to keep doing business with someone like Bergstain , they will do anything to get a project made and desperation is always a bad guidance counselor . The business of Hollywood needs as much specific reporting and follow through as possible and I think lots of people dropped the ball on the king of bridge financing to nowhere .

Anyone remember Axium? Very similar M.O., similar personalities, and similar tactics. In fact Bergstein used Axium for their payroll and it was interesting to see them in action against each other. Who knows better than a crook how another crook thinks and operates.
Don’t forget the bank executives and hegde fund moguls helped this guy pull this crap every step of the way. And the fact that our laws regarding how corporations can be set up as shell companies certainly make the flim-flam attractive to a sociopath like Bergstein.
I would not be surprised if other people besides Bergstein were in on the fraud going on here. I sold a film to one of his companies and after the contract was done various claims were made on the delivery side in order to stall out portions of the advance. Needless to say, those monies eventually never arrived. I would be curious to see internal communications between Bergstein and different departments at the companies to see if employees were instructed to stall contractually agreed upon payments, invent reasons for non-payment, or extract work and services in bad faith, knowing that compensating funds would never be paid.
I blame the Republicans for allowing corporate greed to exist and get away with so much. I know that DB teetered on the line of legality, but most of what he has alleged to have done is legal and the way America works. I’m not defending him, by any means, but there is a larger problem to examine.

Soulless piece of shit took our documentary; WHEN STAND UP STOOD OUT and sold it to Wal-Mart, Barnes & Noble, and Showtime without ever paying us a dime – and cooked the books to the end. I have seen David Bergstein operate for many, many years. In the beginning there was the un-irrigated Country Club in Palmdale (high desert) that he was building and Black Hills Development Corporation. After that there was Platinum Magazine, then Blue Kangaroo Publishing, then Spartan Funding – then Icon Mag, then Metropolis Publications. After Metropolis came DVD Express then DVD.com, then Franchise Pictures, then Mobius – which spans a good 14 plus years and brings us to the story so far – which many of you have been part of…
Still, regardless of what you know, or what you think that you might know, there is a commonality with all of David’s endeavors. Simply put – beyond the smooth talk and the great poker face it’s a big, old shell game. Investment is brought in. Idiotic pet projects (that shouldn’t be funded) are heralded as the next big thing. And while the various entities spiral out of control and employees are not paid – the operating cash and receivables are slowly siphoned-off.
David is a master of distraction and deception. I have seen many sane and intelligent people suckered into handing over cash to David and cheer-leading the most ludicrous schemes. There was the hair restoration business – like a poor man’s Rogaine. There was the Ammon’s cowboy boot factory in Texas. There was the giant video game warehouse (that was a former batting cage) with no inventory. All of these businesses failed. All the investors lost their money. But (it’s my guess) that David personally made money off each and every absurd deal.
At the time, some of the above even seemed funny. However, despite the humorous nature of day-to-day with David – which might include buying decommissioned Russian Fighter planes or bomb threats on the office building – business was mostly about the veneer of mismanagement and the endless stream of bad decisions – which I believe were ALL intentioned. You see while everybody is focused on foolishness, ineptitude and tragic failure – nobody is watching the money.
In the vein of a sociopathic Max Bialystock David sells 400% of everything and as each business fails, investors and employees become distracted – convinced that David is somehow insane, rather than just re-enacting his tried and trusted methods of subterfuge.
As Entertainment Professionals we consider ourselves sharp and special. We can’t believe that we might’ve been hustled by a squeaky-voiced rube like David Bergstein. But (in my humble opinion) the voice and crackpot ideas are all part of the deception. David is Kaiser Soze and we are thinking that he is Verbal Kint. We don’t see past his gauche antics or painful misunderstanding of anything creative – meanwhile, every week the unmarked envelopes are being Fed-Ex’d to the Cayman Islands.
I have no doubt that while many people filibuster for David’s Bankruptcy and Federal indictment – he will simply go the way of his former associate, Elie Samaha. The court case will rage, but on paper David probably owns nothing – so he can’t really pay-up anyway.
If the forces of Law & Order want any kind of result – I suggest that they do two things. Firstly, follow the money… Sequester David’s various Fed-Ex bills from over the years and track the packages that went to the Cayman’s and Switzerland. Undoubtedly there is some record at the other end that will at the very least point to illegal banking transactions. Secondly, over the years, David has sent-out various financial documents and stock certificates in the U.S. mail that made written misrepresentations. Much like ‘The Client’ there are probably hundreds of counts of mail fraud. That’s Federal. And if you’re unlucky there might even be jail time.
As I imagine, though – this will all end-up a minor blip on the Hollywood radar and David will probably just disappear into a pleasant but wealthy obscurity. Maybe in the end, he might actually convince a Federal Court that he doesn’t exist.

For “someone who knows” you would know that Ms. Tregub has not worked for Bergstein for over 9 months and left on bad terms.
After how many years of helping him do his (obvious) dirty work? Sorry. Too little, too late. Acting as someone’s legal cover for years as they screw over producers, vendors, employees, investors, etc. requires a great deal more penance in my book than nine months, and “left on bad terms.” No one leaves that man on good terms.
So was she an idiot or a criminal? Ethically lacking, ignorant, or an accomplice? Tell you what, you tell me. Those are your choices.
There was plenty of nasty shit going on at Capitol during her time there. And she was neck deep in it. Too bad, too, because she could have been better. She had it in her to be better.

As for the others comments on Ms. Tregub, she was above all else his employee. A friend at times sure, but to suggest any type of culpability or complicit behavior is way over the line. She always did what every good lawyer is OBLIGATED to do and that is to represent their client to the best of their abilities. When it became clear that she could no longer do that AND not break the law, compromise personal ethics, etc then she left…PERIOD. If anything she should be applauded for being exceptionally good at her job. Sure it sucks she had a douche bag client but she is innocent and almost painfully moral.
If she even spilled half of what she knows then she would be guilty of what David accused her of and she is simply to ethical to break privilege….but I will say this. She does know where each and every body is buried!

While working at Capitol Films I often referred to my position as a Dream Killer. Many Hollywood People (some very heavy weights) would walk thru those doors, meet with David, sip on his cool-aid, then walk out looking like a starry eyed child, knowing their film was going to be made.
Enter the dream killer. I was their next stop in trying to make their dream a reality, however after being there and seeing David’s reality I knew that at some point, I would have to tell this small child-like Producer that not only is Santa Claus NOT putting tassels on their little red bike, but Santa has no intention of giving you that bike, and if you’re a really unlucky producer, Santa would give you a quarter of a bike then stick you with the bill for the rest of the bike that will never exist. Further more, there is no fucking Santa Clause!
We often referred to BROWN lighting a project at the company. It was more sad then funny. I saw so many people, companies, agents, unions, producers, all believing the David rant. These industry cornerstones were intelligent, yet ignored rumors of David’s ethics and incompletions. Unbelievably everyone moved forward anyway because of their ego. “David wouldn’t do that to me.” For Christ’s sake the man wouldn’t return Robert Redford’s calls, what hope do you have?
Many of the real victims in my opinion are many of the below the line crew people, vendors, cleaning ladies, etc… who worked hard on these partially financed movies, while trying to feed their families and make an honest days pay. When financing hit a brick wall (not because of an honest error) they were left out in the cold with absolutely no answers, or even worse, bold face lies from David’s Hench-woman, Frymi.
There were several of us at the company that would risk our jobs trying make his wrongs right.
Many people described David as a cockroach. When the world comes to an end, from out of the rubble and ash, David will surface and thrive. Ironically, David would enjoy this description of himself.
If you are an entity still believing in David’s gospel then I truly despise YOU more than he.
Many asked, “How can you work for the Devil?” I responded, “there is a big difference between working for the Devil and making a deal with the Devil.” I was always free to go. So go I did.
Dream Killer, I am sure your “official” declaration could be given and that every little bit helps a Judge decide whether to appoint someone to sell the film library versus leaving DB in charge. While you could not make a difference then in the lives of those DB made false promises to then… you likely could now. Who knows, you could be the final straw and there’s no risk to you. I think you should get in touch with the people running this lawsuit… or just go down to the courthouse on the date of the hearing. I bet you’d be welcome as heck.
I am one of those waiting to be paid for a year now. I hope this get settled and he not only pays what he owes us but also that he spends some time in jail. People like him never change. Never.
I have followed this story for some time and the same thing crosses my mind each time I read something new… at what point, as an investor, vendor, guild, or whatever you are to Capitol and Bergstein, did you stop paying attention to the money going out and what was coming in? I mean, I have produced several indie and studio films over the past decade and I have had every bean counter possible on my ass when it came to cash flow reports, expense accounts, even the freakin’ petty cash account for crafty!
What I am getting at is this simple fact. the ultra rich become the ultra rich, by being frugal and tight with their money. Not being oblivious and reckless. I am by no means stating or even believe that Bergstein is innocent by any means, but considering that the man build a film library of almost 800 titles, it begs to offer the position that he had to have help to achieve this. He had to have people in the shadows allowing for his “reckless” nature to proceed. No investor, partner, employee, hedge fund manager would allow what he did to go uncontested for this long, unless people were making money. That’s plain and simple. You never look at the books until the checks, which were coming in all the time, stop coming. All of the schemes are the same, Franchise pictures with Eli, Yari Group with Bob, and now, Capitol Films with Bergstein. All of them had many partners that were all making money, and knew what was going on. They skillfully allowed the worst of them to be the front man, knowning damn well that when the hammer finally fell, they would need someone to point the finger at. Enter the front man and his ego. He takes center stage cause he is an ego maniac, but the truth is that every partner is just as guilty. An idiot like Bergstein doesn’t get where he is going without having some very good help. that is plain and simple. In the end, Bergstein will serve time, but the careers, films and crews are the only people that were hurt.
Molner is leading the group of investors that got into the pyramid scheme late instead of earlier, and like every pyramid scheme, the ones in last always end up holding an empty bag. They are just pissed that they were in the end group, instead of the ” beginning” group that scammed away everyone’s money. Now they want to call foul and go after what is left. But I assure you, that if they were part of this from the beginning, they won’t be part of the group crying ” help me! I got scammed!”. Just like Madoff’s beginning investors are not seeking damages, only the end groups or as they are referred to by federal investigators as “dump goats”. Bergstein should rot in jail for what he has done, but to think that one man scammed all these, intelligent, wealthy people, with their legions of financial and legal advisors is absurd. He should go to jail but he should be accompanied in a bus, filled with his partners, but the sad part is, that will never happen.
We should all look at this and remember that if it looks and sounds too good to be true, it’s probably because it is. But considering that desperation is in high order in our business, people will drink the cool-aid and make whatever deal, so they can say to everyone else that they “are making their movie”. It’s a sad state of affairs, but it is OUR, self induced state of affairs.
