I've got some more detail on Comcast-GE-NBC. The 290-page "Project Crimson", which has been the deal's code name from the beginning, was delivered to legal departments yesterday. All sides agreed Friday to the transaction's financials after the rough framework was okayed a month ago. Barring some last-minute holdup from Vivendi regarding the sale of its 20% NBCU stake, "It's a done deal", an insider tells me. "Nothing has been signed yet. But it's quite close. There's still lots of really complicated structural issues -- tax and indemnity shit. But not fundamental deal issues." Another step forward is that Comcast just got GE to agree there wouldn't be any conversations with anybody else about NBCU for a week beginning yesterday. Obviously, Comcast took seriously those reports that Rupert Murdoch's News Corp was circling more closely and might be a bidder. "That's an indication the deal is getting done," an insider confided to me. Expectations are that the regulatory okay will take 14 months to obtain, and the handoff should take place at the beginning of 2011.
Comcast remains cagey about what it plans for Jeff Zucker and Ron Meyer, and the rest of the NBCU bigwigs. I've reported that Comcast No. 2 Steve Burke who'll be overseeing NBCU was saying he'd move out Zucker a few months. Other media outlets have been reporting that Zucker will be retained. Today, I heard from an insider regarding Zucker's fate that "the last thing Comcast wants to do is indicate anything one way or another. There's still 14 months to go. Comcast will do what's smart and be supportive of Jeff over that time and get to know him and then make a decision." Same goes for Ron Meyer. "I don't think they have opinions about anybody right now." (Actually, I think the truth is more like Comcast doesn't want anybody to express opinions about the NBCU folks right now and poison what is going to be a long pre-takeover process.)
But here's another interesting detail: I understand that Comcast is less likely to jettison Universal Studios than NBC's troubled broadcast network. "The studio is of more interest to them than the network is," an insider explains to me. "Everyone would get rid of the network because, basically, this is a deal to buy a bunch of cable channels. The problem is that nobody thinks the network is saleable. It loses a huge amount of money right now."
Meanwhile, GE's Jeffrey Immelt and Comcast's Brian Roberts will be speaking back to back at the 2-day NYC financial conference held by private equity firm Quadrangle on Wednesday and Thursday. It's a very hush-hush confab that excludes media unless they're moderating panels. So expect Immelt and Roberts to explain to Wall Street why the $30B deal makes sense for their shareholders. So let's go over the financial terms one more time: Vivendi would have to sell its 20% NBCU stake to GE. NBCU is set up as a new joint entity controlled 51% by Comcast and 49% by GE. Comcast contributes all its cable channels like Golf and Versus and E! and Style, plus $6B to $7B in cash, to the new entity. In turn, GE puts in its 80% ownership of NBCU plus Vivendi's 20% (which it hopefully controls by then), as well as $8B to $10B in debt, to the new entity.


They’ll look to spin NBC to Warners, mark my words. Warners needs it to put their shows.

hopefully comcast has a decent health insurance plan…GE’s new “healthymagination” that begins in january promises to be quite a nightmare. higher premiums, huge deductibles, lower standard of care. additionally GE has all these crazy corporate protocols that make no sense for an entertainment co. 14 months can’t come quickly enough!
I’m an nbc-er too and my co-workers and I are sick about the coming health care plan changes. We’re also hoping that Comcast will come along and give us back healthcare insurance like we have now. That is, if we still have jobs afterwards.
Yep, totally disgusted by the new “insurance” plan by GE. They might as well not even offer us health insurance with this new plan because none of us will be able to afford to go to the doctor or pay for our prescriptions since we have to meet the deductible before benefits kick in. This also equates to a HUGE cut in our salary since we agreed to the job with the current benefits package, not this 3rd rate package we are getting in January.
My biggest wish if Comcast takes over is that they will re-instate our current benefits. This new plan might as well be no plan at all. And yeah, I’m thrilled to be employed in this economy (who isn’t) but that’s no excuse for what GE has done to all of it’s employees with this plan. It’s a big FU to all of us!! Meanwhile, we continue to get emails trumpeting record profits!
seems that comcast is in bed with obama too seeing the letter brian roberts sent to the white house yesterday touting his support for obamacare. or maybe his outspoken support can help the regulatory period go a little faster? hmmm.
i also heard from NBC HR that comcast’s health benefits, while previously great, are now as bad as the new GE plan. so nobody’s happy and we certainly won’t be going to the dr. or getting any tests unless we are practically dying. and something like having a baby could cost thousands – guess that’s out now too.
I thought they really wanted Universal, cable and a studio go together like bread and butter, but, who really wants a dying business model, broadcast networks.
Interesting that the codename for the deal is the name of Zucker’s college paper, which he edited. Brian Roberts is not a Harvard guy.

Comcast will not sell NBC. The distribution platform has too much value worldwide in terms of ancillary recoupment. The network’s failings have everything to do with its creative team(s) and both the mediocrity in terms of personnel that Zucker has put together and frankly, their poor choices in material. Remember, for a while Heroes, The Office, My Name is Earl and 30 Rock and to some extent Friday Night Lights were the foundation for a resurgent NBC until Zucker decided Reilly was a corporate threat and replaced the teflon king with someone who’s skill sets were considerably less teflon-esque. People will follow a show they want to watch and why Desperate Housewives is on ABC and not NBC, or American Idol is on Fox and not NBC is simply good insinct and a big dollop of luck. Comcast is more likely they sell the O&O’s and migrate NBC to Cable. program many less hours and compete with TNT and USA on the creative front with a whole new financial paradigm.

The NBC cable properties; NBC News has to change its tune. MSNBC is a market trailer and should basically jettison its partisan agenda and get back into the game by reporting real news instead of spewing a political agenda.
It’s no secret Immelt, GE and Healthymagination are all in the tank together and GE has promised its media outlets to support all this socialized medicine stuff. I wonder if that will change as a result of the partnership.
Geez, could you guys at least get educated on what you are so scared about. The NBC employees wouldn’t be eligible for any public option government plan because the current bills do not allow that option for companies supplying health benefits. It has to be from private insurers. You know like United Health, and Aetna and BC/BS.
Why do I have the feeling that you will be screaming as loud or louder for someone to do something when your employer gets rid of employee insurance benefits because they can’t afford the 25 and 30 percent a year premium increases for you, and they can’t cut your benefits any further to stem the hurt?
I would love to have the public option. Cut out the middle-man, the insurance company, who is there solely to make a profit. Sounds good to me!

Turn NBC into a cable network. Could fetch $4.50/sub/month = $5 billion/year in revenue. Can stop paying affiliates while they’re at it.
And if they elect not to sell the service to Verizon or DirecTV, it’ll boost Comcast distribution as well.
Having worked at both Comcast and NBC Uni, I can tell all those NBCer’s out there that yes, Comcast does have a very good health care plan, similar to the old GE plan. As far as companies go I think Brian Roberts and Steve Burke are pretty astute…perhaps with a new team in place the peacock can be revived. Look at what Les Moonves did over at CBS.

Comcast may not be so quick to sell NBC outright. Yes, the network’s primetime schedule is in shambles. But if Leno is moved back to late night, the 10:00pm hour–a highly profitable one–is suddenly available.
And despite the network’s troubles, the Today show, NBC Nightly News and Meet the Press are financial and ratings juggernauts (combined revenue for the three programs is close to $ 1 billion.)
OMG; GE is allowing Comcast to put up Golf and Style channels as bargaining chips? Nobody is even watching those channels! In fact they are the only channels that greedy Comcast gives all it’s customers for free. It’s like trading dirty flip flops for brand new Jimmy Choos. What else does Comcast have to offer, used Kleenex? If GE is smart they’ll keep right on talkin’ to NewsDay.
